Terms of Use & Intellectual Property

1. General Terms of Use

By accessing or using the WideAds platform ("Platform"), you agree to these Terms of Use. The Platform is operated by WideMedia AI Group Ltda. ("WideAds"), a Brazilian technology company specialized in digital out-of-home (DOOH) retail media.

WideAds provides a platform that connects retailers ("Partners") who make screens available in their establishments with advertisers ("Advertisers") who wish to run digital advertising campaigns at these points of sale.

Use of the Platform implies full acceptance of these Terms. If you do not agree with any provision, discontinue use immediately.

2. Intellectual Property & Trade Secrets

All content, software, algorithms, mathematical models, heuristics, databases, interfaces, design, and materials made available on the Platform are the exclusive property of WideMedia AI Group Ltda. or its licensors, and are protected by Brazilian and international intellectual property law.

2.1 Protected Trade Secrets

The following are expressly classified as trade secrets of WideAds, under art. 195, items XI and XII of Brazilian Law 9.279/96:

  • The WideAds Score algorithm, including its weights, variables, constants, composition formulas, and calibration parameters;
  • The partner payout model, including base calculation formulas, multipliers, and projections;
  • The CPM pricing engine, including dynamic pricing formulas, floor constants, and escalation mechanisms;
  • The location intelligence engine, including pedestrian traffic estimation heuristics, conversion coefficients, and geospatial enrichment methodologies;
  • The audience distribution models, including hourly traffic curves, visual capture rates, and modeling parameters;
  • Any aggregated data, internal benchmarks, or network performance metrics.

2.2 Prohibitions

Users, partners, advertisers, and third parties are expressly prohibited from:

  • Performing reverse engineering, decompilation, disassembly, or any attempt to obtain the source code, algorithms, or trade secrets of the Platform;
  • Reproducing, copying, or adapting, in whole or in part, the scoring, pricing, or payout algorithms;
  • Systematically collecting (scraping) Platform data for competitive analysis or to create a competing service;
  • Disclosing, transmitting, or sharing confidential information obtained through use of the Platform;
  • Using automated tools to infer the parameters of the WideAds Score or the pricing models.

3. Confidentiality

By using the Platform, every user agrees to treat as confidential any technical, commercial, or operational information they access, including but not limited to:

  • Score values, CPM, and payout projections displayed in the dashboard;
  • Performance data for screens, campaigns, and establishments;
  • Marketplace parameters and metrics;
  • Any information marked "CONFIDENTIAL" or "PROPRIETARY".

This confidentiality obligation persists for 5 (five) years after account closure, in line with international trade-secret protection practice.

4. Penalties for Violation

Violation of the intellectual property and confidentiality terms will subject the offender to:

  • Civil liability: compensation for losses and damages, lost profits, and moral damages;
  • Criminal liability: the crime of unfair competition (art. 195, Law 9.279/96), punishable by 3 months to 1 year of detention, or a fine;
  • Judicial measures: search and seizure, injunctive relief, and restraining actions;
  • Immediate termination: cancellation of Platform access and termination of all active contracts.

5. Applicable Law

These Terms are governed by the laws of the Federative Republic of Brazil, notably:

  • Law 9.279/96 (Industrial Property) — Protection of trade secrets and unfair competition;
  • Law 9.609/98 (Software) — Protection of computer programs;
  • Law 9.610/98 (Copyright) — Protection of intellectual works;
  • Law 13.709/18 (LGPD) — Protection of personal data;
  • TRIPS Agreement (WTO, art. 39) — International protection of confidential information.

To settle any disputes, the courts of the district of São Paulo — SP are elected, with express waiver of any other, however privileged.

6. Registration and Proof of Authorship

WideAds maintains dated, digitally signed internal documentation of all its proprietary algorithms, constituting proof of prior creation under Law 9.609/98. The source code may be registered with the INPI (National Institute of Industrial Property) at any time as an additional protective measure.
